A. Terms of Purchase
When you purchase a product from https://externallawyers.com.au/councle or www.councle.com.au (CounCLE Product) you are contracting with External Lawyers Pty Ltd T/A CounCLE (ABN 50 681 712 649) (“CounCLE”, “We”, “Our” or “Us”).
By purchasing a CounCLE Product, you are deemed to accept the terms and conditions set out in these Terms of Purchase (Purchase Terms) which form an agreement between you and Us. If you do not agree to these Purchase Terms, you should not purchase a CounCLE Product.
These Purchase Terms may be amended by Us from time to time. You should review the Purchase Terms each time you make a purchase.
B. Payment
All CounCLE Products are displayed and charged in Australian dollars (AUD) and are displayed exclusive of Goods and Services Tax (GST). GST will be applied to all purchases at the prevailing rate. Payment is required in full at the time of purchase. Payment is processed by a third-party payment processor. CounCLE does not store your payment details. Your use of payment processing facility is subject to the terms and conditions of the relevant third party payment processor.
C. Disclaimer – Not Legal Advice
The content of a CounCLE Product is general information only and does not constitute legal advice. Readers should seek advice specific to their circumstances. It is provided for your information purposes only and whilst we have taken reasonable care in its preparation, we provide no guarantees. You should make your own assessment as to whether or not to rely on it. We accept no liability for such content being unsuitable or outdated for your circumstances.
Purchasing a CounCLE Product does not create a solicitor-client relationship. You are not a client of External Lawyers Pty Ltd and we are not your solicitor until a Costs Agreement is executed by both parties and in force. Purchasing a CounCLE Product does not constitute acceptance of a Costs Agreement. You have a right to seek independent legal advice before entering into the Purchase Terms.
CounCLE Products are operational tools for business. They do not contemplate your particular situation and are not tailored to your particular needs. Whilst they have been created by a lawyer, they are not unique to legal practice and persons other than a lawyer who have the appropriate commercial and corporate exposure such as human resources practitioners, compliance professionals and data privacy experts are equally well-placed to create certain CounCLE business tools. Any references to applicable law within CounCLE Products constitute legal information only, designed to assist you to operationalise a legal process within your business under the oversight of appropriately experienced personnel.
D. Exclusion of Liability
To the extent permitted by applicable law, CounCLE excludes all liability for any damage, claim or loss whatsoever in connection with the use of a CounCLE Product including any direct, indirect, special or consequential damage, claim or loss. To the extent permitted by applicable law, all representations, warranties and implied terms are excluded. To the maximum extent permitted by law, CounCLE takes no responsibility relating to any incorrect, inaccurate, incomplete or erroneous information within a CounCLE Product or for any viruses, loss of data or any other impact on your computer systems which may result from your download or use of a CounCLE Product.
Subject to your rights under Australian Consumer Law, Product purchases are non-refundable. Our aggregate liability to you under these Purchase Terms for any order whether in contract, tort (including negligence) or otherwise, even if we have been advised of the possibility of such damages shall in no event exceed one hundred per cent (100%) of the price of the Product(s) in your order.
Nothing in these Purchase Terms is intended to exclude, restrict or modify your rights including under consumer protection laws such as the Australian Consumer Law which cannot be excluded, restricted or modified.
E. Delivery of Product
CounCLE will deliver the Product electronically to the email address nominated by you at the time of purchase. Subject to any verification undertaken by CounCLE under these Purchase Terms, CounCLE will use reasonable endeavours to ensure delivery occurs within 48 business hours of purchase. Delivery is deemed to occur upon dispatch to that email address. CounCLE is not responsible for non-receipt of a CounCLE Product where delivery has been dispatched to the nominated email address, including where non-receipt is caused by SPAM or junk mail filters, incorrect email address provided at the time of purchase or the acts or omissions of any third-party email or internet service provider. Upon notification by you of non-receipt CounCLE will use commercially reasonable efforts to arrange redelivery of the Product to an alternative email address within your business.
F. Eligibility to Purchase CounCLE Product
CounCLE reserves the right to reject any purchase, including without limitation where the purchaser does not operate a business in Australia, where the sale would be unlawful for any reason and where CounCLE reasonably determines the purchaser is a Prohibited Purchaser or cannot be verified in accordance with these Purchase Terms. In the event of rejection, CounCLE will refund any payment made in full within five (5) business days of the purchase. No contract for sale of a CounCLE Product is formed until CounCLE dispatches the CounCLE Product to the nominated email address. A Prohibited Purchaser in this clause means a purchaser purchasing on behalf of a business where CounCLE reasonably believes the purchaser intends to use the CounCLE Product for competing commercial sales, legal operations or compliance product offerings.
G. Intellectual Property – Ownership of content
Subject to the Purchase Terms, CounCLE grants you upon purchase a non-exclusive, non-transferable, non-sublicensable licence to use the CounCLE Product for your internal business purposes, including to complete, populate and implement the CounCLE Product within your organisation and to share the CounCLE Product and any outputs derived from it with your legal advisers for the purpose of obtaining legal advice, with external IT security advisers for data breach response requirements, with your insurer or broker where required for insurance purposes or any third party permitted in writing by CounCLE (Permitted Third Parties), or where required by law. This licence does not permit any other distribution, sharing or commercialisation of the CounCLE Product or its content wholly or partly.
The content of the CounCLE Products including all copyright, design rights, trade marks and associated goodwill, names, trade names, service marks and other logos, including the External Lawyers logo, the CounCLE mark and colours, images as well as the design, layout, format, font, information and other intellectual property rights (CounCLE IP) is, as between you and Us, the property of CounCLE. All rights are reserved.
You are provided with access to the CounCLE IP for business use only. You are not permitted to access or use the CounCLE IP for any purpose which involves the commercialisation of the CounCLE IP or any element of it, including by inputting CounCLE IP into any artificial intelligence or machine learning system or for any purpose which may be illegal or otherwise in a manner reasonably likely to damage the reputation of CounCLE, its directors or officers.
You acknowledge that certain CounCLE Products may contain or generate information that is commercially sensitive to your business. You are solely responsible for ensuring that access to CounCLE Products and any outputs or records derived from them are appropriately restricted and secured within your organisation and any distribution to Permitted Third Parties.
You are also not permitted to use, copy, adapt, reproduce, store, publish, distribute, display, perform or create any derivative work based on any of the CounCLE IP, without the prior written consent of CounCLE.
H. Marketing Material
When you purchase a CounCLE Product, you agree to receive commercial electronic messages from External Lawyers Pty Ltd and CounCLE. You can unsubscribe at any time by using the unsubscribe facility available at the footer of any marketing email you receive.
I. Third party products and services
The CounCLE Products may contain links to third party websites and applications. These are provided for your convenience only and your use of such websites and applications are subject to the terms and conditions of those websites, applications and third parties. To the maximum extent permitted by law, CounCLE takes no responsibility regarding any links or your use of such websites or applications.
J. Privacy
By making a purchase of a CounCLE Product, you consent to the handling of your personal information by CounCLE in accordance with applicable law and CounCLE’s Privacy Policy available to view here: https://www.externallawyers.com.au/privacy/.
K. General
If any provision of these Purchase Terms is or becomes void, voidable, illegal, unlawful, prohibited or otherwise invalid or unenforceable, such provision shall be severed from these Purchase Terms and will not have any effect on the remaining provisions.
L. Jurisdiction
These Purchase Terms are exclusively governed by the laws of New South Wales, Australia. The parties irrevocably submit to the non-exclusive jurisdiction of the courts exercising jurisdiction there.
